1 ACCEPTANCE OF TERMS
1.1 Poppleton Publishing Services is the trading name of Verena Groom-White, 69 Station Road, Upper Poppleton, York, North Yorkshire YO26 6PZ, United Kingdom.
1.2 By contracting with us for any of our services, you agree to fully accept the terms, conditions and disclaimers contained in this notice. Please take a moment to read them thoroughly.
1.3 We reserve the right to change these Terms & Conditions at any time, and your continued use of our services following any changes shall be deemed to be your acceptance of these changes. We shall also not be liable to you for any consequences arising directly or indirectly from such a change.
2 PERSONAL INFORMATION
2.1 In the course of business, we may ask you to provide us with certain personal information, such as your address. We hereby confirm that we will not sell or pass to any third party any of your personal information beyond that which is essential (for example, we may need to supply our delivery company with your address so that materials can be delivered to you).
2.2 Poppleton Publishing Services reserves the right to terminate your account if we discover you have provided false or misleading personal information.
2.3 It is your responsibility to ensure the accuracy of your personal information. We do not accept responsibility - nor offer refunds - if you incur financial loss because the information you have provided is incorrect.
3 ACCEPTANCE OF WORK FOR TRANSCRIPTION, PROOFREADING, COPY-EDITING, INDEXING, LAYOUT & DESIGN, PROJECT MANAGEMENT OR PACKAGING
3.1 All work is accepted by Poppleton Publishing Services in good faith and on the understanding that it (a) is not defamatory, menacing, offensive or abusive, (b) does not breach copyright, confidence, privacy or any other rights, (c) does not infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy, (d) is not in breach of any applicable law or regulation, and (e) is not obscene, indecent or injurious to minors.
3.2 In all cases acceptance shall be confirmed in writing.
4.1 Poppleton Publishing Services hereby warrants that all work shall be carried out in a professional and timely manner, with a reasonable degree of care and to an acceptable standard.
4.2 Whilst Poppleton Publishing Services will make every effort to ensure the correctness of work we return, we make no representation — either express or implied — as to its accuracy and cannot accept any legal responsibility for any errors or omissions or consequences arising therefrom.
5 FORCE MAJEURE
5.1 Poppleton Publishing Services shall not be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, accidents, war, fire, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply, and shall be entitled to a reasonable extension of its obligations.
6 PAYMENT FOR SERVICES
6.1 Payment for services is normally required in advance.
6.2 Customers who open an account with us will be supplied on a credit basis. A 30 day invoice will normally be sent out upon completion of the work.
6.3 Under the provisions of the Late Payment of Commercial Debt (Interest) Act 1998 we reserve the right to charge interest on all invoices raised from the date of invoice until the date of payment, calculated at the rate of 2% per calendar month or part thereof.
6.4 Where invoices remain unpaid for an unreasonable length of time, we reserve the right to withdraw credit facilities altogether.
7.1 If you have any complaints, please contact us immediately. We shall endeavour to resolve the matter promptly.
8 GOVERNING LAW
8.1 These Terms & Conditions shall be governed by and construed in accordance with the law of England, and you hereby submit to the exclusive jurisdiction of the English courts.
